Welcome to Maddi! These Terms of Service ("Terms") govern your access to and use of our website shopmaddi.com and the purchase of products through our online store. 

Please read these Terms carefully before using our website or making a purchase. By accessing our website or by placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, we kindly ask that you refrain from using our website or services.

We are a retail business based in the Philippines, operating an e-commerce platform powered by Shopify. 

2. Acceptance of Terms 

By accessing our website, browsing our products, creating an account, or placing an order, you agree to:

• Comply with these Terms of Service; 
• Comply with our Return and Refund Policy, Shipping and Delivery Policy, and Privacy Policy
• Comply with all applicable laws and regulations; 
• Be at least 18 years of age or have the consent and supervision of a parent/guardian; and
• Provide accurate, current and complete information at all times. 

We reserve the right to refuse or cancel service, suspend accounts or restrict access to our website or services at our discretion, at any time, and for any reason, as permitted by applicable law.

3.1 Creating an Account 

To make purchases and access certain features of our website, you may need to create an account. By creating an account, you agree to: 

• Provide accurate, current, and complete information; 
• Maintain and promptly update your account information to ensure its accuracy;
• Keep your login credentials secure and confidential; and 
• Notify us immediately of any unauthorized use or suspected breach of your account. 3.2 Account Security 

You are solely responsible for all activities that occur under your account, including any transactions made using your credentials. We are not liable for any loss or damage arising from your failure to maintain the confidentiality and security of your account information.

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have: 

• Violated these Terms of Service or any other applicable policy; 
• Engaged in fraudulent, abusive, unlawful activity; 
• Misused or abused our return or refund policies; 
• Provided false, incomplete or misleading information; or 
• Engaged in any conduct that we deem inappropriate. 

4. Products and Orders 

4.1 Product Information 

We strive to display our products as accurately as possible. However, please note that:

• Product colors may vary slightly depending on your device’s display settings;
• Sizing may differ by style and/or manufacturer; 
• Product descriptions are provided for general information 
• While we aim for accuracy, we do not guarantee that product descriptions are error-free or complete. 

Sizing charts are available on all product pages. Please refer to them before placing your order and do not hesitate to contact us at hello@shopmaddi.com if you have any questions. 

4.2 Product Availability 

• All products are subject to availability. 
• We reserve the right to limit quantities or discontinue products at any time without prior notice.
• Product availability may change without notice. 
• Pre-order items are subject to separate availability timelines and terms (see Section 4.7) 

4.3 Pricing 

• All prices are listed in Philippine Pesos (₱) or converted automatically based on your location.
• Prices are subject to change without prior notice. 
• The price charged will be the price displayed at the time of order. 
• We reserve the right to correct any pricing errors or inaccuracies, even after an order has been placed. 
• Promotional prices are valid only during the specified promotional period and subject to the applicable terms and conditions. 

4.4 Placing an Order 

By placing an order, you are making an offer to purchase the selected products. We reserve the right to:

• Accept or decline any order;
• Verify your payment or account information before processing;
• Cancel any order that appears fraudulent or suspicious, or in violation of these terms; and
• Limit order quantities per customer. 

An order shall be considered confirmed only when you receive an order confirmation email from us. 

4.5 Payment 

GCash only for now.

*Note: We accept GCash at the moment. Additional payment methods are coming soon as we work to expand our payment options!

4.6 Order Cancellation 

By Customer: 

• You may cancel your order before it has been shipped by contacting us immediately at hello@shopmaddi.com. 
• Once your order has been shipped, cancellation is no longer possible. In such cases, Maddi’s Return and Exchange Policy will apply. 
• Refunds for cancelled orders will be processed within seven (7) to ten (10) business days. 

By Us: 

• We reserve the right to cancel orders in cases of pricing errors, product unavailability, payment issues or suspected fraudulent activity. 
• If we cancel your order, you will be notified and refunded for any payments made. 

4.7 Pre-Orders 

Pre-order items are products that are not yet in stock but available for advance purchase. These items will be shipped once production is completed and they have been received and packaged at our warehouse. 

Pre-Order Terms: 

• Estimated arrival dates are provided on the product page and are subject to change without prior notice. 
• You'll receive an email notification once your pre-order items arrive and are ready for shipment.
• Pre-order items are typically shipped within 2-4 weeks from the order date, unless otherwise stated. 
• Payment is required at the time of placing a pre-order 
• Pre-orders are non-refundable, except in cases where we are unable to fulfill your order due to product unavailability or other unforeseen circumstances. 
• Mixed Orders (In-Stock + Pre-Order): 
• You may choose to ship all items together once the pre-order item arrives (with no additional fee)
• Alternatively, you may request split shipment, in which case an additional shipping fee will apply for the second shipment. 
• You may select your preferred shipping arrangement at checkout. 

5. Shipping and Delivery

8. Intellectual Property 

8.1 Our Content 

All content available on our website, including text, graphics, logos, images, product descriptions, and software, is the property of Maddi and/or its licensors and is protected by intellectual property laws. 

You may not: 

• Copy, reproduce, modify or distribute our content without permission; 
• Use our trademarks, logos, or brand name in any manner without authorization;
• Create derivative works or adaptations based on our content; or 
• Use our content for commercial or unauthorized purposes. 

8.2 User Content 

If you submit reviews, comments, photos, or other content to our website: 

• You grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, publish and display such content in any media for legitimate business purposes, including marketing and promotional use. 
• You confirm that you own or have rights to the content. 
• You agree not to post or submit unlawful, inappropriate, offensive, defamatory or illegal content
• We reserve the right to monitor or remove any user content at our discretion 

9. Prohibited Activities 

You agree that you will not use our website or services for any purpose that is unlawful or prohibited under these Terms. In particular, you agree not to: 

• Use our website for any illegal or unauthorized purpose; 
• Violate any applicable laws, rules or regulations; 
• Infringe upon or violate Maddi’s intellectual property rights or of others; 
• Upload, transmit or distribute viruses, malware, or harmful code that could disrupt or damage the website or other users’ systems; 
• Attempt to gain unauthorized access of our website, servers, or systems; 
• Interfere with or disrupt the normal operation, security, or functionality of our website;
• Impersonate any person or entity or otherwise misrepresent your identity; 
• Harvest, collect or misuse personal data or information from other users; 
• Engage in fraudulent activities of any kind; 
• Abuse or misuse our return or refund policies; 
• Post or submit false, misleading or defamatory reviews or comments; or 
• Use automated systems or tools (bots, scrapers) without our permission. 

Any violation of these prohibitions may result in the suspension or termination of your account, denial of access to our services, and legal action, where appropriate. 

10. Limitation of Liability 

To the fullest extent permitted by law, Maddi, its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any: 

• Indirect, incidental, special, exemplary or consequential damages; 
• Loss of profits, revenue, data, goodwill or business opportunities; 
• Damages arising from your use of or inability to use our website or services;
• Errors, inaccuracies, or omissions in product information or descriptions; 
• Delays, interruptions, or failures in delivery caused by events or circumstances beyond our control; 
• Acts, omissions, or negligence of third-party service providers, including but not limited to logistics partners (e.g. J&T Express, FedEx) and/or payment processors (e.g. Shopify). 

To the extent that any liability is established despite the foregoing, our total aggregate liability shall not exceed the total amount you paid for the specific product or order giving rise to the claim. 

Nothing in these Terms shall exclude or limit our liability for: 

• Death or personal injury caused by our negligence; 
• Any other liability that cannot be excluded or limited by law. 

11. Indemnification 

You agree to defend, indemnify and hold harmless Maddi, its affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to: 

• Your violation of these Terms or any applicable law or regulation; 
• Your use of our website or services; 
• Your violation of any rights of another party; 
• Any content submissions, or materials you provide, upload, or share through our website. 

12. Third-Party Services 

Our website may integrate or make use of third-party platforms and service providers, including but not limited to: 

• Shopify - E-commerce platform 
• Payment Processors - Credit card and e-wallet payment processing 
• J&T Express - Local shipping within the Philippines 
• FedEx - International shipping 
• Google Analytics - Website analytics 
• Social Media Platforms - Marketing and customer engagement 

These third-party services operate independently of us and are governed by their own terms, conditions, and privacy policies. We are not responsible or liable for the practices, policies, content, actions or omissions of these third-party services. Your access to or use of such services is at your own risk and subject to the respective third party’s terms and conditions. 

13. Modifications to Terms 

We reserve the right to update, amend or modify these Terms at any time, at our discretion. Any changes will be effective immediately upon posting on our website, unless otherwise stated. 

We will notify you of material changes by: 

• Updating the "Last Updated" date at the top; 
• Posting a notice on our website; or 
• Sending an email notification (for significant changes) 

Your continued use of our website or services after such changes constitutes your acceptance of the modified Terms.

We reserve the right to, at any time, without prior notice to:

• Change product offerings, availability, or pricing;

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. 

Any dispute, claim or controversy arising out of or relating to these Terms or your use of our website or services shall be subject to the exclusive jurisdiction of the proper courts of San Juan City, National Capital Region (NCR), Philippines, to the exclusion of all other venues. 

16. Dispute Resolution 

16.1 Informal Resolution

16.2 Arbitration 

If informal resolution fails and amicable resolution cannot be reached, disputes may be resolved through binding arbitration in accordance with Philippine arbitration laws, rather than in court. 

16.3 Class Action Waiver 

You agree that any dispute shall be resolved on an individual basis only, not as part of any class, collective, or representative action. 

17. Force Majeure 

We are not liable for any failure or delay in the performance of our obligations due to circumstances beyond our reasonable control, including but not limited to: 

• Natural disasters or acts of God (e.g. typhoons, earthquakes, floods); 
• War, terrorism, or civil unrest; 
• Government actions or regulations; 
• Pandemic or epidemic; 
• Labor strikes or disputes; 
• Failure of suppliers, carriers, or utilities; 
• Technical malfunctions, system outages/failures or cyber attacks. 

18. Severability 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

19. Entire Agreement 

These Terms, together with our Privacy Policy, Return and Exchange Policy, and Shipping Policy, constitute the entire agreement between you and Maddi Corporation regarding your use of our website and services. 

20. Waiver 

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. 

21. Assignment 

You shall not assign or transfer your rights under these Terms without our prior written consent. On the other hand, we may assign our rights and obligations without restriction.
